1. Scope and Acceptance
These Terms apply to your use of the ServePoint software, websites, APIs, and related services. By creating an account, signing an order form, or using the platform, you agree to these Terms on behalf of yourself and your business.
You must provide accurate account information, maintain credential security, and promptly report unauthorized access.
2. Fees, Billing, and Renewals
Subscription, transaction, and hardware fees are described in your order form or plan details. Unless otherwise stated, subscriptions auto-renew and may be terminated with advance notice before renewal.
You are responsible for all applicable taxes. Late balances may result in service suspension and applicable late charges as permitted by law.
3. Customer Data, Privacy, and Security
You retain ownership of business data you submit, including menus, orders, and customer records. You grant ServePoint a limited license to process that data to operate, secure, and support the service.

4. AI-Assisted Features and Important Disclaimer
Some features may use machine-learning or generative AI to classify, summarize, suggest, extract, or automate operational tasks.
AI outputs are probabilistic and may be inaccurate, incomplete, or outdated. AI is not perfect and can get things wrong.
You are responsible for human review before relying on AI-assisted outputs for legal, payroll, tax, accounting, food safety, pricing, HR, compliance, or other high-impact decisions. You should verify important results against source records.
5. Acceptable Use and Third Parties
- No unlawful, fraudulent, or abusive use of the service.
- No reverse engineering or unauthorized security testing.
- No resale or sublicensing unless explicitly authorized in writing.
- Third-party integrations are governed by each provider's own terms.
6. Warranties, Liability, and Termination
Except where expressly provided, the service is offered on an as-is and as-available basis. To the fullest extent permitted by law, neither party is liable for indirect or consequential damages, and aggregate liability is limited to fees paid in the preceding twelve months.
Either party may terminate for material breach if uncured after notice. Data export and survival terms apply as stated in your commercial agreement and applicable law.
7. Governing Law and Updates
These Terms are governed by Delaware law, excluding conflict-of-law rules. We may update these Terms from time to time and will post the revised date above when changes take effect.
